Wholesale Real Estate Contracts: Assignment, Clauses, and Exit Risk
A wholesale deal is two transactions: a purchase contract between you and the seller, and an assignment of that contract to an end buyer. The paperwork is simple. The failure modes are not.
Assignment vs. double-close
Assignment, you sell your contractual right to buy. One closing, your fee shows on the settlement statement. Double-close, you actually buy, then resell, often same-day. Two closings, two sets of costs, but your fee stays private and some title companies/states prefer it.
The clauses that matter
- Inspection/option period, your exit if you can't find a buyer. Short windows kill assignments.
- Assignability, the contract must permit assignment. Texas TREC forms are silent unless you strike or add language; get this reviewed.
- Earnest money terms, who holds it, when it goes hard, and what happens if your buyer walks.
- Closing date, buffer matters. A 30-day close with a 14-day option is a wholesaler's standard shape.
Why wholesale deals die
The dominant failure is an ARV the end buyer doesn't believe. If your number rests on stretched comps, the buyer pool does the math themselves and passes. Related: how to estimate after repair value and how to wholesale houses.
The reputation layer
Sellers sign with you because the close sounds certain. If you routinely re-trade or walk at the option deadline, agents and title companies remember, and your offer pipeline dries up. Write offers you can close.
